Utask Pty Ltd ACN 654 470 667 (Utask) trading as Utaskprint has the right to operate the Utaskprint.com website and mobile application. These Terms and Conditions apply to your role as a Supplier for Utask.

Please read these carefully and if you do not accept the Terms and Conditions set out below, please refrain from providing any Services on the Website or Mobile Application and do not agree to be a Supplier for Utask.

By registering to be a Supplier, you acknowledge that you have the authority to act on behalf of the respective company.

The Utask Terms and Conditions (updated March 2023) outline Utask’s and your obligation and responsibilities in relation to the Website and Mobile Application.

1. Intellectual Property

You are not permitted to use the Intellectual Property which includes but is not limited to, confidential information, designs, Trade Marks or any other content located on the Website or App without prior consent from Utask.

The images, texts and otherwise information contained on the Website or App may be subject to copyright and are the property of Utask. You agree not to download, copy, reproduce or otherwise use such copyright material without prior consent from Utask.

Subject to these Terms and Conditions, the parties agree to grant each other a fully-paid, royalty-fee, non-exclusive and revocable license to use each other’s brands for marketing and promotion purposes. Other than specifically set out in these Terms and Conditions, or otherwise agreement(s), neither part will use the other party’s brand without the prior written consent.

The Supplier acknowledges that during the use of the Website and/or Mobile Application, it may be required to provide or upload certain personal information, photos, images or written material. Utask is committed to ensuring the privacy of its Customers and Suppliers and will ensure that all personal information collected will be kept secure and in accordance with any applicable privacy laws. Whilst Utask agrees to ensure that all personal information is kept secure, the Supplier agrees that Utask may provide its information to Customer for the purpose of dealing with a Service request. The Supplier acknowledges that Utask will receive remuneration for providing its information to relevant Customers.

7. Warranties

The Supplier represents, warrants, and undertakes to Utask that, in performing the Services:

The Supplier warrants that all information received from Utask in relation to the Customer, the Services, or business affairs of Utask is confidential and must not be disclosed to any person, other than the Supplier’s representatives, employees, or as required by applicable law.

The Supplier acknowledges that use of the Website is undertaken at the Supplier’s own risk and unreservedly indemnifies Utask from any responsibility in respect of information or content listed on the Website or any linked Websites not controlled by Utask.

The Supplier agrees that it will not engage in any activity that is disruptive or is detrimental to the operation or function of the Website. The Supplier is prohibited from displaying or transmitting unlawful, threatening, defamatory, obscene, or profane material on the Website. Utask may prevent the Supplier from accessing the Website if in Utask’s sole opinion, you have violated or acted inconsistently with these Terms and Conditions.

10. Use of Mobile Application Platform

The Supplier acknowledges that use of Mobile Application is undertaken at the Supplier’s own risk and unreservedly indemnifies Utask from any responsibility in respect of information or content listed on Mobile Application or any linked mobile applications not controlled by Utask.

The Supplier agrees that it will not engage in any activity that is disruptive or is detrimental to the operation or function of Mobile Application. The Supplier is prohibited from displaying or transmitting unlawful, threatening, defamatory, obscene, or profane material on Mobile Application. Utask may prevent the Supplier from accessing Mobile Application if in Utask’s sole opinion, you have violated or acted inconsistently with these Terms and Conditions.

11. Links and Advertisements

The Supplier acknowledges that any links or advertisements containing links to external websites that are provided or located on the Website or Mobile Application are for convenience only. Utask does not endorse or make any warranty with respect to any external websites or to the accuracy or reliability of the links or advertisements contained on the Website or Mobile Application.

The Supplier acknowledges that items, resources or learning material which are advertised or displayed on the Website or Mobile Application may not be available to purchase or download at the time of access.

12. Security

Utask, from time to time, may use technology to improve security on the Website or Mobile Application. The Supplier agrees to cooperate with Utask and is responsible to check and read the amended Terms and Conditions accordingly.

13. Cookies and Viruses

Utask uses its best endeavours to ensure the use of the best technology to protect its users but accepts no responsibility in relation to any damage to any electronic equipment used by you, including mobile devices, as a result of your use of the Website or Mobile Application.

14. General

You acknowledge that Utask may vary these Terms and Conditions and the Supplier agrees to be bound by that variation from that time when that variation is advised. The Supplier acknowledges that continued use of the Website and/or Mobile Application constitutes an agreement to these Terms and Conditions and any variations to these Terms and Conditions.

15. Applicable Law

The Supplier agrees that the content of the Website and/or Mobile Application is intended for Australian residents and may not be available in any other Country. The laws of the State of Queensland will apply with respect to these Terms and Conditions and any use of the Website and/or Mobile Application. You submit to the exclusive jurisdiction of the applicable Courts located in the State of Queensland, Australia with respect to the Website, Mobile Application and these Terms and Conditions.

16. Definitions

Mobile Application means the mobile application owned by Utask used for connecting Customers with Suppliers, for the provision of printing services.

Additional Fee means any fee charged to the Customer that are not in accordance with the Supplier Agreement, including but not limited to, cancellation fees. Administrative Fee means the costs for Utask to advertise Services on the Website or Mobile Application.

Consequential Loss means Loss of expected savings, Loss of use, Loss of opportunity, Loss of profit, Loss of revenue, increased financing costs, Loss arising from delay, or any Consequential, special or indirect Loss or damage, whether or not the possibility or potential extent of the Loss or damage was known or foreseeable, and whether arising from a claim under indemnity, contract, tort (including negligence), statute or otherwise.

Customer means you, or any person or business utilising the Wesbite or Mobile Application to connect with Suppliers for the agreed upon Services. Customer Profile means the account created by the Customer on the Website and/or Mobile Application.

Device Applications means any online store or app-store in which our services are contained or advertised for sale in any device (mobile, tablet or otherwise). Intellectual Property means any and all Trade Marks, copyright, designs, patents, or otherwise intellectual property owned by Utask or its affiliates. Linked Site means the Website or any other site to which the Website links. Loss means any expense, cost or damage of any kind and includes Consequential Loss and a fine or penalty imposed by a statutory or other authority. Mobile Application means the mobile application of Utask, called Utaskprint.com. Print Ready means the term 'print-ready' is often used in the printing business to describe a file that already meets all the necessary specifications to result in a high-resolution printed outcome without the need for any additional intervention or alteration. Services means the printing services provided by the Supplier to the Customer. Subscription Fee means the fee for Suppliers to remain registered to the Website or Mobile Application following the initial twelve-month period. Suppliers means the third-party businesses available on the Website or Mobile Application to assist the Customer with its requested Services. Supplier Agreement means the digital agreement binding the Customer and Supplier in the provision of the Services.

Utask means Utask Pty Ltd ACN 654 470 667 (Utask) trading as Utaskprint.com. Website means the Utask website at utaskprint.com used for connecting Customers with Suppliers for the provision of printing services.
